1Definitions
In these Terms and Conditions ("Terms"):
• "Company", "we", "us", or "our" means Diamond Dynamics Ltd, a company registered in England and Wales (Company No. 15224576).
• "Services" means the websites, applications, games, consultancy services, and any other products or services provided by Diamond Dynamics Ltd, including through our brands CTO.expert, CyberSorted.io, and BLOCKityBLOCK.
• "User", "you", or "your" means any individual or entity that accesses or uses our Services.
• "Content" means all text, graphics, images, software, audio, video, data, and other materials available through our Services.
2Acceptance of Terms
By accessing or using any of our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.
If you are using our Services on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.
3Our Services
Diamond Dynamics Ltd provides the following services through its brands:
• CTO.expert: IT consultancy services, including technology strategy, architecture review, and technical advisory
• CyberSorted.io: Cyber security services, including security assessments, compliance guidance, and security training
• BLOCKityBLOCK: Mobile game and web application
• General software development: Custom software development and related services
Service availability, features, and pricing may change at our discretion. We will provide reasonable notice of material changes where possible.
4Consultancy Services
Where we provide IT consultancy or cyber security services:
• Services will be provided as agreed in a separate Statement of Work (SOW) or engagement letter
• All advice and recommendations are provided in good faith based on the information available to us
• We do not guarantee specific outcomes or results
• Implementation of recommendations remains your responsibility unless otherwise agreed
• Consultancy fees are as quoted and are payable in accordance with the agreed payment terms
5Applications & Games
Where you use our applications or games:
• We grant you a limited, non-exclusive, non-transferable, revocable licence to use the application for personal, non-commercial purposes
• You may not copy, modify, distribute, sell, or lease any part of our applications
• You may not reverse engineer, decompile, or attempt to extract the source code
• You may not use cheats, exploits, automation software, or unauthorised third-party tools
• In-app purchases, where available, are processed through the relevant app store and are subject to that store's terms and refund policies
• Virtual items have no real-world monetary value and cannot be exchanged for cash
6Intellectual Property
All Content and intellectual property in our Services, including but not limited to designs, graphics, software, text, trademarks, and trade names, is owned by or licensed to Diamond Dynamics Ltd and is protected by copyright, trademark, and other intellectual property laws of the United Kingdom and international treaties.
The Diamond Dynamics, CTO.expert, CyberSorted.io, and BLOCKityBLOCK names, logos, and all related marks are trademarks of Diamond Dynamics Ltd. You may not use these without our prior written permission.
Any materials, deliverables, or work product created by us as part of consultancy engagements are subject to the intellectual property terms set out in the applicable Statement of Work.
7Limitation of Liability
To the maximum extent permitted by law:
• Our Services are provided "as is" and "as available" without warranties of any kind, whether express or implied
• We do not guarantee uninterrupted, error-free, or secure access to our Services
• Our total liability to you for any claims arising from or related to our Services shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
Nothing in these Terms excludes or limits our liability for:
• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Any other liability that cannot be excluded or limited by English law
8Indemnification
You agree to indemnify, defend, and hold harmless Diamond Dynamics Ltd, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
• Your use of our Services
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your infringement of any third-party rights
9Termination
You may stop using our Services at any time.
We may suspend or terminate your access to our Services immediately, without notice, if:
• You breach any provision of these Terms
• You engage in fraudulent, illegal, or harmful activity
• We are required to do so by law or regulatory authority
• We discontinue any of our Services
For consultancy engagements, termination provisions in the applicable Statement of Work shall take precedence over this clause.
Upon termination, your right to use our Services ceases immediately.
10Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales.
Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
We encourage you to contact us first to resolve any disputes informally before initiating legal proceedings.
11General Provisions
Entire Agreement: These Terms, together with any applicable Statement of Work or engagement letter, constitute the entire agreement between you and Diamond Dynamics Ltd regarding the use of our Services.
Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment: We may assign our rights and obligations under these Terms without your consent. You may not assign your rights or obligations without our prior written consent.
